"A fault has occurred causing a virtual CPU to enter the shutdown state" immediately after booting windows10 guest in workstation11 on ubuntu14.04 host

the vm boots but right after guest loading of bootmgr, vmware stops it (i can see just a flash of the boot screen)

if I setup the vm as "other 64bit" or "freebsd 64 bit", it boots ok.

if I setup as "windows 10 64 bit" or "windows 8 64 bit", or any windows - it stops at boot with the mentioned message.

how to troubleshoot this?

guest: using win10 build 9901

host: kernel 3.13

non-default global / vmx parameters, don't know if matters:

monitor_control.disable_hostedIPI = TRUE

prefvmx.minVmMemPct = "100"

tmpDirectory="/dev/shm"

sched.mem.pshare.enable = "FALSE"

prefvmx.useRecommendedLockedMemSize = "TRUE"

mainmem.backing = "swap"

scsi0:0.deviceType = "rawDisk"

scsi0:0.virtualSSD = "1"

scsi0:0.redo = ""

scsi0:0.mode = "independent-persistent"

serial0.startConnected = "FALSE"

replay.supported = "FALSE"

replay.filename = ""

MemTrimRate = "0"

sched.mem.pshare.enable = "FALSE"

numvcpus = "2"

cpuid.coresPerSocket = "2"

"A fault has occurred causing a virtual CPU to enter the shutdown state" on boot of VM.
